Pamica Group acquires HTSM Eskilstuna, ABC Karossen and ALMA Electronics

Pamica Group AB (publ) (“Pamica”) has acquired 100% of the shares in the operating companies HTSM Eskilstuna AB, ABC Karossen i Mönsterås AB and ALMA Electronics AB from Pamica 5 AB and seven minority shareholders. The purchase consideration for the transactions will be paid on the basis of a non-cash issue in accordance with the resolution of the Extraordinary General Meeting of Pamica Group, which was held today, December 18, amounting to a maximum of 3,774,515 shares, corresponding to approximately MSEK 159 on full subscription.

As previously announced, a large number of Pamica Group’s investors committed in early 2025 to invest up to MSEK 340 in a fund structure outside Pamica Group, known as Pamica 5 AB. In connection with this, Pamica Group subscribed for an option to acquire subsidiaries of Pamica 5 on the basis of non-cash issues, and subject to the resolution/approval of the shareholders of Pamica Group, the Board of Directors of Pamica 5 and the lenders to Pamica Group. In 2025, Pamica 5 acquired the operating companies HTSM Eskilstuna AB, ABC Karossen i Mönsterås AB and ALMA Electronics AB.

Following a resolution of the Extraordinary General Meeting of Pamica Group today, December 18, all approvals have been obtained, enabling Pamica Group to complete the abovementioned acquisitions.

HTSM, which serves as the main supervisor for railway tracks in Sweden, will become a platform company of the Group, ABC Karossen is an ideal complement to Pamica Group’s platform company SKAB-Gruppen, particularly in bodywork and equipment for smaller trucks, and ALMA expands the geographical presence and strengthens the offering of our platform company Alltronic,” comments Jan-Olof Svensson, CEO of Pamica Group.

Facts about the acquired companies

HTSM Eskilstuna AB serves as the main supervisor in Sweden, with the Swedish Transport Administration being the biggest client. The company, which was acquired by Pamica 5 in May 2025, acts as a traffic coordinator and construction traffic manager in connection with work being performed on and around railway tracks. Its customers are, in addition to the Swedish Transport Administration, large private infrastructure and engineering contractors, and public sector operators. HTSM Eskilstuna AB has posted healthy growth for the past three years and generated sales of just over MSEK 64 in 2024.

ABC Karossen i Mönsterås AB manufactures and assembles custom carriers, flatbeds, covers and special wagons in sandwich design, including interiors and functions for heating, cooling, and freezing. The business, which was acquired by Pamica 5 in August 2025, has sales of approximately MSEK 50 and will be integrated into Pamica Group’s subsidiary SKAB-Gruppen. SKAB-Gruppen is a leading manufacturer in its industry in Scandinavia in custom carriers with sandwich design for the transportation industry, as well as special, mobile structures for many different purposes. SKAB-Gruppen has its headquarters in Ätran, employs approximately 300 people and has sales of approximately MSEK 800, with good profitability.

ALMA Electronics AB, which was acquired by Pamica 5 in November 2025, produces and sells subcontracted circuit board solutions for customers in Sweden in a number of different sectors. It has sales of approximately MSEK 35. ALMA Electronics AB will be part of Pamica Group’s subsidiary Alltronic, which designs and produces customized electronics, primarily circuit boards. Alltronic is based in Alingsås, has about 26 employees and annual sales of approximately MSEK 60 with healthy profitability.
